1. ACCEPTANCE OF ORDERS

Orders are accepted via the online shopping cart or directly contacting Customer Service. Buyer confirmation on a form is final.

2. PRICE AND AVAILABILITY

Prices and availability are subject to change without notice and are not guaranteed. TP Plastic reserves the right to correct any errors, inaccuracies, or omissions, and to update information at any time without prior notice. Listed prices do not include shipping charges, handling fees, taxes, duties, or special crating requirements for export shipments. Buyers seeking exemption from taxes or duties must provide the necessary documentation at the time of purchase; otherwise, taxes will be applied to their order. While TP Plastic aims to keep prices as low as possible, they may change without notice due to factors beyond our control.

3. QUOTATIONS

Quotations are subject to TP Plastic’s inventory availability and are not guaranteed for any length of time. Verbal agreements will not be recognized.

4. TERMS OF PAYMENT

Payment terms are governed by TP Plastic's invoice or the applicable sales confirmation agreement as published. By default, all customers are required to pay by credit card. However, customers with significant monthly purchases may qualify for alternative payment terms, subject to TP Plastic's approval. 5. DELIVERY

For Importer: FOB for VietNam.

For local customers: pick up or shipment by agency.

6. SHIPMENT

Shipping dates and times provided by TP Plastic are approximate and not guaranteed. TP Plastic will not be held liable for any delays in delivery or failure to manufacture or deliver products due to causes beyond its reasonable control. These causes may include, but are not limited to, acts of God, actions of the Buyer, fires, strikes, floods, riots, wars, delays in transportation, or the inability to obtain necessary labor, materials, or components. Should any such delays occur, the expected delivery date will be adjusted accordingly, extending for a period equivalent to the time lost due to the delay. In cases where delivery becomes impossible, TP Plastic reserves the right to cancel the contract without any further liability to the Buyer. Cancellation of any part of an order does not affect TP Plastic’s right to receive payment for any products already delivered. For any order or part of an order, TP Plastic reserves the right to ship and invoice for a quantity that may differ from the original request, and the Buyer agrees to accept and pay for such adjusted quantity, considering the shipment as fulfilling the order.

7. DISCLAIMER

All product images, including but not limited to those featured in catalogs, websites, signage, displays, price lists, and advertisements, serve solely for illustration purposes. The appearance of actual products may differ.

9. LIMITATION OF LIABILITY

TP Plastic’s liability of any claim of any kind, including negligence, for any loss or damage arising out of, connected with, or resulting from this contract, or from the performance or breach thereof, or the sale, delivery, resale, or use of any product covered by or furnished under this contract, shall in no case exceed the price of the product or part thereof which gives rise to the claim.

IN NO EVENT SHALL TP Plastic BE LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES LIKE PENALTIES. TP Plastic shall not be liable for delay or failure to perform due to causes beyond its control.

10. INDEMNIFICATION AND WAIVER

Buyer agrees to indemnify and hold harmless TP Plastic of and from any claims or liabilities asserted against TP Plastic in connection with the sale, delivery, resale, or use of any product covered by or furnished under this contract arising in whole or in part out the failure of Buyer, its agents, employees or customers to follow instructions, warnings or recommendations furnished by TP Plastic in connection with such product, or because of the negligence of the Buyer, its agents, employees or customers. Buyer hereby waives and releases TP Plastic from all rights of contribution or indemnity to which it may otherwise be entitled.

11. TAXES

TP Plastic requires the Buyer to provide a valid resale certificate before the first order. If a Buyer cannot provide a valid resale certificate, liability for all taxes and import or export duties, imposed by any city, federal, or other governmental levies, shall be assumed and paid by Buyer. Buyer further agrees to indemnify TP Plastic against any liabilities for such taxes or duties and legal fees or costs incurred by TP Plastic in connection therewith.

12. QUALITY CONTROL AND PRODUCT INSPECTION

TP Plastic will make every effort to verify the product before shipment. However, upon arrival, the Buyer must inspect the item and quantity before using any portion of the order. Should there be any shortages, errors, or damages, the Buyer should reject the merchandise at the time of delivery. Claims for shortages, errors, and damages must be made before the item is opened or used. TP Plastic will not be responsible for errors made by the Buyer in the purchase or usage of the product.

13. CUSTOM ORDERS

All custom orders are subject to acceptance by the manufacturer and cannot be changed or canceled once accepted. Prices quoted are based on freight rates and fuel surcharges in effect at the time of the quote. Any subsequent increases will be charged to the purchaser's account. All trade customs apply.

14. PICK-UP/WILL-CALL OPTION

The will-call (pick-up) option is available for our local customers. Orders can be scheduled for pick-up at the TP Plastic warehouse within a 2-hour preferred pick-up time window. Please note that our pick-up hours are Monday to Friday, from 10:00 a.m. to 5:00 p.m. Orders placed before 4:01 p.m. can be scheduled for same-day pick-up. Orders placed after 4:00 p.m. will automatically be scheduled for the next business day. Orders not picked up within 7 business days of the scheduled date will be canceled, and a 20% restocking fee will be applied.

15. RETURN OF MERCHANDISE

No merchandise will be accepted for return and/or credit without TP Plastic's prior consent. All of the following conditions must be met before consideration will be given for a return and/or credit of the merchandise:
A) The Buyer must notify the Seller in writing of the intention to return the merchandise within 7 days of the invoice date, and the items must be returned within 30 days.
B) All returned merchandise must be clearly labeled with an RMA (Return Merchandise Authorization) number issued by TP Plastic.
C) All returned goods must be in their original packaging and in resalable condition.
D) All authorized returns are subject to a 20% restocking charge (with a minimum of $25). Customers will be responsible for all shipping and transportation costs associated with the returns.

16. THE ENTIRE AGREEMENT

This agreement constitutes the complete and exclusive contract of sale and purchase of the products specified herein. No modification of this contract shall be considered binding upon TP Plastic unless it is in writing and signed by an authorized representative of TP Plastic. Furthermore, any modification will not be implied by TP Plastic’s acknowledgment or acceptance of Buyer’s purchase order forms that contain differing provisions. Trade usages shall not apply to, nor be relevant in interpreting, this agreement and shall not be employed in any manner to explain, qualify, or supplement any of its provisions.
